What Does an LLC Cost in Alaska?
Alaska: $300 in state charges in year one for an operating domestic LLC, $250 for the Articles of Organization plus the $50 state business license that is required before engaging in business, with the free Initial Report due within six months. Later years average $100 a year: the $100 Biennial Report every two years, averaged to $50 a year, plus the $50 a year business license. One figure travels with an open disclosure on every Alaska page: the Division's forms charge $250 domestic and $350 foreign, while regulation 3 AAC 16.065(a) prints $150.
Year one: what you pay to exist
| Year-one cost in Alaska | Amount |
|---|---|
| Articles of Organization, Division (form 08-0484) | $250 as charged. Regulation 3 AAC 16.065(a) prints $150; see the disclosure below |
| Initial Report, due within 6 months | $0 (listed as NO CHG) |
| State business license, AS 43.70, required before engaging in business | $50 for one year (or $100 for two years) |
| EIN from the IRS | $0 |
| Operating agreement (you write it, not filed) | $0 |
| Total state cost, year one | $300 |
That is the complete required state charge in year one for a domestic LLC that actually operates: $250 to form and $50 for the one year business license, with the Initial Report free. The license is not part of the formation filing and it does not protect a name, but AS 43.70.020 requires it before engaging in business, and the formation form itself instructs the filer to obtain it first, so it belongs in an honest year one total. Buying the two year license instead makes year one $350 and removes the license charge from the following year, because every license expires December 31 of the year through which it is issued. The conflict disclosure belongs in the total, not in a footnote: 3 AAC 16.065(a) states a $150 fee for filing articles of organization, and for a foreign application for registration, while the current forms and the fee schedule charge $250 and $350 in total. No official source consulted states a breakdown of the difference for LLCs. This site uses the charged totals, prints the regulation figure wherever the fee appears, and advises confirming the total at filing time. The optionals are priced plainly. A name reservation is $25 for 120 days. A Business Name Registration under AS 10.35 is $25 for a five year term, with a business license in the same name required first. A Certificate of Compliance, which serves as a certificate of good standing, is $10 online. Serving as your own registered agent, or naming another eligible person or corporation, costs nothing; hiring a commercial agent service is a market purchase, not a state fee.
Every year after: the cost of staying alive
| Recurring cost in Alaska | Amount |
|---|---|
| Biennial Report, $100 every two years, due before January 2 of the filing year | $50/yr averaged |
| State business license renewal, AS 43.70 | $50/yr |
| State income tax on a default pass-through LLC | $0. Alaska has no personal state income tax, and no flat entity charge applies to a default LLC |
| Statewide sales tax | $0. There is no statewide sales tax; municipal sales taxes are local and excluded, see below |
| Typical recurring total | $100/yr averaged |
The $100 a year average comes with the sharpest late arithmetic in this guide. A biennial report is delinquent if not filed before February 1, and 3 AAC 16.065(c) imposes a late charge of $25 for each year or part of a year of delinquency, with 3 AAC 16.065(d) adding 10 percent of the total amount of the filing fee and the late charge. Applied to a domestic LLC, the Division's own biennial report form states the resulting total outright: $100 if postmarked before February 2, and $137.50 if postmarked on or after February 2, in the form's 2026 example. Six months of delinquency in filing the report or paying a fee or penalty is a ground for involuntary dissolution under AS 10.50.408(a), after written notice and 60 days to contest or correct. Reinstatement within two years has no flat fee in the statute; AS 10.50.408(e) prices it as double the amount delinquent, along with the amount the company would have paid had it not been dissolved during the two year period. Past two years, there is no reinstatement at all, only a new filing and a new Alaska Entity Number.
What drives the Alaska total, year one vs. later
Year one is driven by the formation filing itself: $250 for the Articles of Organization as charged on the current form, plus the $50 state business license an operating company must hold before it engages in business, for $300 in total, with the Initial Report free. Later years are driven by the two year rhythm of the Corporations Section filings. The Biennial Report is $100 every two years, which averages $50 a year, and the business license is $50 a year, so the recurring average is $100 a year even though the cash actually leaves in uneven amounts: $50 in a year with no report and $150 in a report year if the license is bought one year at a time. The averaging is disclosed here and in the calculator rather than hidden, because the report is a single $100 charge on a January 2 cycle, not an annual fee. One headline figure carries a disclosed conflict. Regulation 3 AAC 16.065(a) prints $150 for the domestic formation filing and the foreign registration application, while the Division's current forms and fee schedule charge $250 domestic and $350 foreign. This site headlines the charged totals and prints the regulation figure on the guide, on this page, and on the report page. What does not drive the Alaska total is tax at the state level: Alaska has no personal state income tax and no statewide sales tax, and a default LLC owes no flat entity tax. The costs that do scale, the corporate net income tax that reaches an LLC only on an election to be taxed as a corporation and the sales taxes individual municipalities levy, are explained below and kept out of the flat total.

The Alaska taxes that are not in the flat total
Alaska Tax Facts, revised November 4, 2026, states the two headline points plainly: "There is no personal state income tax" and "There is no statewide sales tax levied." Because there is no personal income tax, income that passes through a default LLC to individual members is not taxed by the state at the member level either, and the Tax Division's corporate tax materials state the general rule that generally only C corporations, not S corporations or other pass-through entities, pay the corporate income tax, with Alaska generally following the Internal Revenue Code in determining an entity's taxable status and adopting the federal flow-through provisions. No franchise tax or flat annual entity tax for LLCs appears in AS 10.50, 3 AAC 16, or the Tax Division materials. The tax that can reach an LLC is the corporate net income tax under AS 43.19 and AS 43.20, and it reaches an LLC only on an election to be taxed as a corporation for federal purposes. The Tax Division describes graduated rates ranging from 0 percent to 9.4 percent over ten brackets, with 9.4 percent applying at $222,000 or more of taxable income, so it is income based and excluded from the flat totals. An LLC taxed as an S corporation follows the federal flow-through treatment, subject to the corporate level taxes Alaska imposes on S corporations for items such as built-in gains at the highest marginal rate of 9.4 percent. Sales tax in Alaska is municipal: 107 municipalities levy a general sales tax at rates from 1 percent to 7 percent, with typical rates of 2 percent to 5 percent, and property tax is likewise municipal. Any local sales tax or local license obligation depends on the municipality and is excluded from the state totals on this page.

Run your own version, with an optional registered agent added, in the LLC cost calculator. Every state's year-one and recurring totals sit in one table on the national cost hub, and if a service would act as your agent, the registered agent price tracker follows what that costs at each tracked provider. If you would rather a service handled the filing, the services comparison prices that honestly, renewals included.
