Alaska LLC Biennial Report: $100 Every Two Years, Due Before January 2, Plus a Free Initial Report
Every Alaska LLC files twice on the state's two year rhythm: a free Initial Report within six months of organization, then a Biennial Report at $100 domestic and $200 foreign, due before January 2 of the filing year that matches the parity of the year the company was organized. Miss the February 1 line and a domestic report totals $137.50. Stay delinquent six months and the ground for involuntary dissolution is met. The formation fee conflict, $250 charged against $150 in 3 AAC 16.065(a), is disclosed on this page as it is on the guide and cost pages.
The Alaska reports, in one table
| Item | Alaska rule |
|---|---|
| Who files | A limited liability company and a foreign limited liability company conducting affairs in this state, under AS 10.50.750. The Initial Report line on the Division's fee schedule appears under domestic LLCs only. |
| Initial Report | Due within six months after original organization, under AS 10.50.760(d) as administered by the Division. Fee: no charge, listed as NO CHG on the Corporation Forms and Fees page. It reports officers and ownership, including each person owning at least a five percent interest and the percentage owned. |
| Biennial Report, when | Due before January 2 of the filing year, under AS 10.50.760(a). A company filing articles or registering during an even numbered year files each even numbered year; one filing or registering during an odd numbered year files each odd numbered year. The report is delinquent if not filed before February 1. The filing period opens three months before the due date. |
| Biennial Report, fee | $100 domestic and $200 foreign per report, on the Corporation Forms and Fees page and in 3 AAC 16.065(c). Late, 3 AAC 16.065(c) imposes a late charge of $25 for each year or part of a year of delinquency and 3 AAC 16.065(d) adds 10 percent of the total amount of the filing fee and the late charge; the Division's own form states the domestic delinquent total as $137.50. |
| What it contains | Under AS 10.50.755: the name of the company and the state or country where it is organized; the address of its registered office in this state and the name of its registered agent at that address, and, for a foreign LLC, the address of its principal office in its home jurisdiction; the names and addresses of the managers, or, if the company is not managed by a manager, the names and addresses of the members; and the name and address of each person owning at least a five percent interest and the percentage owned. Registered agent information cannot be changed on the report; a Statement of Change is required. |
| Interim changes | Under AS 10.50.765, a notice of change amending the biennial report is required before the following January 2 when a manager, or a member if the company is member managed, changes during the first year of the biennial reporting period. The Change of Officials form for LLCs, 08-0491, is $25; an Entity Address Change, 08-4764, is no charge. |
The formation fee conflict travels with this page too
The reports above are priced consistently in the statute's regulation and on the fee schedule alike: $100 domestic and $200 foreign in 3 AAC 16.065(c). The formation filing is not. The current Articles of Organization form charges $250 and the foreign Certificate of Registration charges $350, while 3 AAC 16.065(a) states $150 for both a domestic filing of articles of organization and a foreign filing of an application for registration. No official source consulted for these pages reconciles the difference. This site headlines the charged totals, $250 and $350, prints the $150 regulation figure on the guide, the cost page, and this page, and advises confirming the total at filing time.
What happens if you do not file: involuntary dissolution
Alaska's term for the domestic sanction is involuntary dissolution, under AS 10.50.408(a). The grounds are: the company is delinquent six months in filing its biennial report or in paying a fee or a penalty; the company has failed for 30 days to appoint and maintain a registered agent in the state; the company has failed for 30 days after a change of its registered office or registered agent to file a statement of the change; or a misrepresentation of material facts has been made in an application, report, affidavit, or other document submitted under the chapter. Under AS 10.50.408(b) to (d) the commissioner must first give written notice of the delinquency, failure, or misrepresentation by mail under the stepped mailing procedure in AS 10.50.408(f); if the company fails within 60 days after the notice is sent to contest the allegation, and no controlling superior court order intervenes, the commissioner dissolves the company by issuing a certificate of involuntary dissolution stating the company has been dissolved, the date, and the reason. On issuance, the company's existence ceases except as otherwise provided in the chapter, and its name becomes available to another company on a date six months or later after the dissolution. For a foreign LLC the parallel sanction is revocation under AS 10.50.650, on parallel grounds, after at least 60 days notice by certified mail to the registered agent and a failure to cure.
Reinstatement: a statutory formula, a two year window, and no flat fee
Under AS 10.50.408(e), a company dissolved under that section may be reinstated within two years from the date of the certificate of involuntary dissolution if it is established to the commissioner's satisfaction that there was in fact no cause for the dissolution, or if the delinquency, failure, or misrepresentation has been corrected and payment made of double the amount delinquent along with the amount the company would have paid had it not been dissolved during the two year period. There is no flat reinstatement fee in the statute, and this site prints none; the Division's Registered Agent FAQs mention an additional reinstatement fee without stating an amount in any official source consulted, so no amount is asserted here. Reinstatement may not be authorized if the company's name is not distinguishable on the department's records under AS 10.50.025 unless the company amends its articles to change its name. The Division's dissolved entity page confirms the practical route and the hard edge: email a request with the entity name and Alaska Entity Number to the Corporations Section if it has been less than two years, and an entity dissolved more than two years cannot reinstate and must re-file for a new Alaska Entity Number. A revoked foreign LLC cannot reinstate at all and must re-file, and a voluntarily dissolved or withdrawn entity also cannot reinstate.
The other recurring charge: the $50 state business license
The biennial report is a Corporations Section filing. The recurring charge that sits beside it belongs to the Business Licensing Section of the same Division: under AS 43.70.020 and AS 43.70.030(a) a person must obtain a state business license, at $50 a year, before engaging in business in Alaska. A license may be taken for one year at $50 or two years at $100, and all licenses expire December 31. It is not an LLC formation filing and it does not protect a name, but an operating Alaska LLC owes it every year, which is why the cost page and the calculator count it alongside the averaged biennial report.
Closing an Alaska LLC on purpose
Dissolution occurs under AS 10.50.400 at the time or on the events specified in an operating agreement, when all of the members of the company consent in writing, note that the consent standard is all members, not a majority, or when the superior court enters a decree for judicial dissolution under AS 10.50.405. The company then files Articles of Dissolution under AS 10.50.430, form 08-490, for $25; unlike formation, the dissolution articles expressly allow a specific future effective date under AS 10.50.430(4). The current form states it will not be filed if the entity's biennial report is not current or the signer does not match an official on record. In winding up under AS 10.50.410 and AS 10.50.415 the company's assets are distributed under AS 10.50.425 first to creditors, including members who are creditors to the extent permitted by law, then, unless an operating agreement provides otherwise, to members and former members for distribution liabilities, then for the return of contributions and in proportion to their rights to share in distributions. On tax clearance, the position is proof by omission from the statute itself: the five required contents of the articles of dissolution in AS 10.50.430 contain no tax clearance certificate and no Department of Revenue sign off, and neither the dissolution form nor 3 AAC 16 lists a clearance filing or fee, and no verbatim official sentence on the point was found in the sources behind this page. The optional publication under AS 10.50.440, one notice in a newspaper of general circulation to bar unknown claims after three years, is a tool, not a duty. Our dissolution guide covers the wind up order. A foreign LLC leaves by cancellation of registration, form 08-502, for $25 under AS 10.50.655 to 10.50.670.
