How to Form an LLC in Wisconsin
Wisconsin charges $130 to form an LLC online, and $25 a year online to keep it. The filing system was rebuilt by 2021 Wisconsin Act 258, effective January 1, 2023, so older guides cite section numbers, form numbers, and an expedite price that no longer apply. The annual report deadline is also unusual: it runs on calendar quarters, not on a single anniversary date.
Wisconsin at a glance
Filing fee: $130 for the Articles of Organization (Form 502), filed with the Wisconsin Department of Financial Institutions. Recurring: A $25 annual report filed online ($40 on paper), due during the calendar quarter in which the anniversary of the articles' effective date falls. A default pass-through LLC pays no entity level state income or franchise tax and no flat annual franchise charge. Registered agent: required, with a physical address in Wisconsin. Every figure on this page was checked against the Wisconsin Department of Financial Institutions', the Wisconsin Legislature's, and the Wisconsin Department of Revenue's official sites on November 8, 2026.
The Wisconsin filing steps
Check your name on the state's own search
Search the Department of Financial Institutions' Corporate Registration Information System, called CRIS, before you file. Under Wis. Stat. 183.0112, a Wisconsin LLC name must contain the phrase "limited liability company" or "limited company" or the abbreviation "LLC" or "LC," or a variation of those abbreviations that differs only in capitalization or punctuation. The form instructions add that "Limited" may be abbreviated "Ltd." and "company" as "Co." The name must be distinguishable on the Department's records from existing entities, registered names, and reserved names, and entity type words such as LLC or Inc. do not count toward distinguishability. The Department warns that a search result is tentative and no name should be assumed available until a formation filing has been examined and accepted as filed. If you want to hold a name while you prepare, an optional name reservation under section 183.0113 costs $15 and holds the name for 120 days, renewable for another $15.
Choose your registered agent
Wisconsin calls this role the registered agent, with a registered office, and every LLC and registered foreign LLC must designate and maintain both in the state under Wis. Stat. 183.0115. The designation itself is an affirmation by the company that the agent has consented to serve, so chapter 183 requires no separate signed consent document. The company may not name itself as its own agent. The agent may be a natural person who resides in Wisconsin and whose business office is identical with the registered office, a domestic corporation, nonstock corporation, LLC, limited partnership, or LLP with that same office, or a foreign entity of one of those types that is authorized to transact business in Wisconsin. The agent must have an email address and a place of business or activity in Wisconsin. The registered office must be an actual physical location with a street address, not solely a post office box, a mailbox service, or a telephone answering service, and it need not be the company's own place of business.
File the Articles of Organization with the Department of Financial Institutions
File the mandatory Articles of Organization, Form 502, through the Department of Financial Institutions' Business Entity File Online system, or on paper. The fee is $130 online and $170 on paper. The statute sets the base fee at $130 and allows the Department to specify a larger fee for paper records, which is the mechanism behind the paper price. The articles state that the LLC is organized under chapter 183, give the company name, the street and mailing addresses of the principal office, the name and street, mailing, and email addresses of the initial registered agent, the name and address of each organizer, and any delayed effective date. In most cases an online filing is accepted upon receipt and notice is given immediately. Under section 183.0207, a record is effective on the date received, and a delayed effective date may be set not more than 90 days after receipt. The LLC is formed when the articles become effective. Optional expedited service for entity filings costs extra on top of the filing fee: $100 for action by close of business on the first business day following receipt, $250 for in-person counter service within four hours, and $500 for in-person counter service within one hour.
Get an EIN from the IRS
Free, online, and takes minutes once your Wisconsin filing is approved. Never pay a service for this. See EIN for an LLC for the walkthrough and the one IRS rule (a real person as responsible party) that surprises people.
Write your operating agreement
Under Wis. Stat. 183.0105, a Wisconsin operating agreement governs relations among the members and between the members and the LLC, managers' rights and duties, and the company's activities and affairs. It is not filed with the Department of Financial Institutions. To the extent the operating agreement does not provide for a matter, chapter 183 governs it by default. The agreement also cannot vary certain provisions of chapter 183, including the registered agent and department filing provisions. That default rule is the reason to write the agreement at formation: the parts you leave blank are filled in by statute, not left open.
Open the business bank account and handle licenses
Bring your approved formation document and EIN letter. Then check your city and county for a general business license and your industry for state permits. Wisconsin issues no general business license as part of the Form 502 filing, and the Department of Financial Institutions filing creates the entity only. Licensing beyond formation is industry specific or local, so check the agency that regulates your activity and the city or county where you will operate. The near universal second step is tax registration with the Wisconsin Department of Revenue for the taxes your activity triggers. A partnership treated LLC with Wisconsin source income files Form 3, the Wisconsin Partnership Return, and members report their share of the income. Keep that tax registration separate in your mind from the entity record: filing a tax return does not create, maintain, or dissolve the LLC at the Department of Financial Institutions.
Filing details that trip people up
- Wisconsin rewrote its LLC law, and old section numbers and prices are stale. Chapter 183 was repealed and recreated by 2021 Wisconsin Act 258, effective January 1, 2023. Registered agent law is now section 183.0115, name designators are in section 183.0112, and the annual report is Form 5, not the form number older guides cite. Expedited service for entity filings is $100 for next business day service, not $25. The $25 expedite figure in older Department materials survives only as a per document expedite for certificates and copywork.
- No publication requirement. Nothing in section 183.0201, Form 502, or the formation provisions that follow imposes a newspaper publication or advertising step. Formation is complete when the articles become effective under section 183.0207.
- Foreign LLCs pay $100 in Wisconsin. An out-of-state LLC registers on Form 521, the Registration Statement for a Foreign Limited Liability Company, for $100 under section 183.0122. Section 183.0903 lists what the statement must contain: the company name and any fictitious name adopted, that it is a foreign LLC, the jurisdiction of its governing law, the principal office addresses, and the Wisconsin registered office and agent. No, the statute's list of contents does not include one: there is no home-state certificate of existence in that list, and the Department's Form 521 requirements list does not include one either. An unregistered foreign LLC may not maintain an action or proceeding in Wisconsin until it registers, and it owes, for each year or part year of unregistered business, all fees that would have been imposed had it registered, plus 50 percent of that amount or $5,000, whichever is less.
- There is no DBA filing at the state entity level in Wisconsin. The Department states plainly that DBA information is not part of its business entity records. What Wisconsin offers instead is an optional tradename registration under chapter 132, run by the Department's trademark program: $15 per name, filed online or in person, lasting 10 years, with renewal at $15. Registration is not required. Do not include the words DBA or Doing Business As in that filing, because they would become part of the registered mark. Our DBA guide covers when a second name is worth registering and when it is not.
- Qualifying student entrepreneurs file for $0, but only on paper. Under 2025 Act 224 and section 183.0122(2)(d), the Department may collect no fee for articles of organization if every member, and any non-member organizer, is a student entrepreneur: at least 18, enrolled in a Wisconsin postsecondary institution, a Wisconsin public, private, or tribal high school, or a home-based private educational program, and forming a business start-up. The filing is Form 502SE on paper. The Department's online directions warn that students must file on paper to get the waiver, because the online filing charges the $130 fee.
After your Wisconsin LLC is approved
Get the EIN, open the business bank account, and register with the Department of Revenue for the taxes your activity triggers. A default LLC follows its federal classification in Wisconsin: partnership treated LLCs file Form 3, and an LLC treated as a corporation files Form 4, 5S, or 6. Then calendar the one recurring Department filing, the $25 online annual report, due by the end of your anniversary quarter starting the year after formation. Keep the registered agent and registered office current. You can note an agent change on the annual report, or file Form 13, the Statement of Change of Registered Agent, separately for $10 online or $25 on paper. Treat any Department notice about a missing report or a missing agent as a clock, not as junk mail, because the administrative dissolution process on the report page starts from exactly those defaults.

Wisconsin LLC questions
How much does it cost to form a Wisconsin LLC?
$130 filed online on Form 502, or $170 on paper, paid to the Department of Financial Institutions. Online filings are in most cases accepted upon receipt. Optional next business day expedited service adds $100. Qualifying student entrepreneurs can file Form 502SE on paper for $0.
When is the Wisconsin LLC annual report due?
During the calendar quarter in which the anniversary of the articles' effective date falls, starting the year after the formation year. In practice that means March 31 for a first quarter anniversary, June 30 for a second quarter anniversary, September 30 for a third quarter anniversary, and December 31 for a fourth quarter anniversary. The fee is $25 online or $40 on paper. See the Wisconsin compliance page.
What happens if I miss the Wisconsin annual report?
The LLC goes delinquent. The Department charges no separate late fee or penalty; you cure delinquency by filing a current report and paying the back report fees, $25 for each missed year. If a report is still not on file within one year after it was due, that is a ground for administrative dissolution, and the Department then gives 60 days to cure after its notice. Reinstatement means filing what is owed and paying all back fees and penalties. The Department publishes no flat reinstatement price.
Does a Wisconsin LLC file a BOI report?
No. US-formed companies are exempt under the federal final rule of August 14, 2026. See the BOI tracker.
