What Does an LLC Cost in Utah?

Utah is cheap to start and cheap to keep: $59 once for the Certificate of Organization, then $18 a year for the Annual Renewal. The figures that inflate Utah totals elsewhere, $54 and $70 formation fees, a $20 or $25 renewal, and a 2-year reinstatement deadline, are all stale or belong to other filings on the current schedule.

Year one: what you pay to exist

Year-one cost in UtahAmount
Certificate of Organization, Division of Corporations$59
EIN from the IRS$0
Operating agreement (you write it, not filed)$0
Registered agent (you or another individual serves)$0
Total state cost, year one$59

That $59 is the complete required state charge to form, under the FY2026 fee schedule, and it is nonrefundable. Everything else at formation is optional or conditional. Expedited processing adds $75 per filing, with no turnaround published on the schedule or on any official page read, and a name reservation, if you choose one, is $22 for 120 days. A D.B.A. registration is $22, but only if you trade under an assumed name, so it is not part of the flat formation total. Hiring a commercial registered agent service is a market purchase, separate from state charges, and naming an individual costs nothing.

Every year after: the cost of staying alive

Recurring cost in UtahAmount
Annual Renewal (annual report), due the last day of the anniversary month$18
Late renewal fee, only if the renewal is late$10
Elective pass-through entity taxIncome-based at the 4.45% individual rate for tax years beginning in 2026; not a flat charge
Corporate minimum tax$100, only after a C corporation election
Typical recurring total$18/yr

The $18 Annual Renewal is the whole flat recurring total for a default LLC. The elective pass-through entity tax is not in it, because it is elective and income-based: under Utah Code 59-10-1403.2(2), a pass-through entity that is not a disregarded entity may elect to pay a tax at the percentage in 59-10-104(2), which is 4.45% for tax years beginning in 2026, on voluntary taxable income, and payment on or before the last day of the taxable year is an irrevocable election for that year that may not be refunded. The $100 corporate minimum tax is not in it either, because it applies only to an LLC that has elected to be taxed as a C corporation and files Form TC-20. Owner level Utah income tax on pass-through income, at the flat 4.45% individual rate for tax years beginning in 2026, is an owner item, not an LLC flat charge.

What drives the Utah total, year one vs. later

Utah's total is driven by two small schedule figures and by how much else the schedule does not charge for. Year one is a single $59 filing fee for the Certificate of Organization, with no publication step, no initial report, and no separate agent designation fee. Later years drop to the $18 Annual Renewal, and they stay there for a default LLC, because Utah imposes no franchise or minimum entity tax on a pass-through LLC. The $18 itself is $13 plus a $5 surcharge for the State of Utah's single sign-on portal, which the fee schedule flags with an asterisk. The ways a Utah LLC spends more with the state later are situational: a $10 late fee if a renewal slips, a $17 standalone agent change that is free if you wait and make it with the renewal, or taxes that follow an election or actual income rather than the calendar. Utah's risk is not price. It is missing the renewal window and sliding toward administrative dissolution over an $18 filing.

The Utah tax and filing figures that are not in the standard total, and why

Utah cost pages go wrong by treating election-based and income-based items as if every LLC owed them, and by quoting rates from older tax years. These figures are verified on Tax Commission and Utah Code pages, and each one applies only in its stated situation:

ItemFigureWho it applies to
Individual income tax rate, Utah Code 59-10-104(2)4.45% for tax years beginning in 2026Owners on pass-through income. An owner level item, not an LLC flat charge. Older guides quoting 4.55% or 4.85% are stale.
Elective pass-through entity tax, Utah Code 59-10-1403.2(2)The 59-10-104(2) rate, 4.45% for tax years beginning in 2026, on voluntary taxable incomeElective only, and not available to a disregarded entity. The entity must notify each final pass-through entity taxpayer of the election and give each a statement of the tax paid on income attributed to them.
Mandatory pass-through withholding or payment, Utah Code 59-10-1403.2(1)4.5% per the Tax Commission's 2025 TC-20S instructionsA payment or withholding on behalf of a pass-through entity taxpayer on Utah business income and Utah-source nonbusiness income, with exceptions that include a final pass-through entity taxpayer who is a resident individual. It is a payment on behalf of owners, not a franchise tax on the LLC.
Corporate minimum tax (privilege tax)$100Only an LLC that elects C corporation treatment and files Form TC-20. The Tax Commission states the minimum tax does not apply to S corporations, and a default LLC pays no Utah franchise or minimum entity tax.
Foreign Registration Statement$59An LLC formed in another state registering to do business in Utah, instead of the $59 domestic filing. It then owes the same $18 Annual Renewal.
D.B.A. registration and renewal$22 registration, $18 renewal every three yearsOnly an LLC trading under an assumed name. The renewal figure includes the $5 portal surcharge flagged on the fee schedule.
Voluntary dissolution or terminationNo ChargeListed as No Charge on the FY2026 fee schedule for a domestic entity. See the compliance page for the Statement of Dissolution.

One boundary completes the picture. Utah has no general statewide business license fee from the Division of Corporations in these totals, because licensing is local and industry specific, and local charges sit outside the state totals as they do in every state here.

Run your own version, with an optional registered agent added, in the LLC cost calculator. Every state's year-one and recurring totals sit in one table on the national cost hub, and if a service would act as your agent, the registered agent price tracker follows what that costs at each tracked provider. If you would rather a service handled the filing, the services comparison prices that honestly, renewals included.
