What Does an LLC Cost in Oklahoma?
Oklahoma: $100 to form, then $25 a year. The Annual Certificate is the only recurring flat state charge for a compliant LLC with its own registered agent, Oklahoma has no franchise tax for an LLC, and reinstatement carries no fee of its own. The traps are the slow consequences of missing the $25 certificate, not the price of filing it.
Year one: what you pay to exist
| Year-one cost in Oklahoma | Amount |
|---|---|
| Articles of Organization, Secretary of State | $100 |
| EIN from the IRS | $0 |
| Operating agreement (you write it, not filed) | $0 |
| Registered agent (the LLC itself, a resident individual, or another eligible entity serves) | $0 |
| Total state cost, year one | $100 |
That is the complete required state charge to form, online, by mail, or in person. Nothing else is owed in year one: no publication, no initial report, and the first Annual Certificate is not due until the first anniversary. Two payment and speed items sit outside the fee itself. Paying by credit card adds a four percent service charge under Title 18, section 1142, so a card payment on the $100 filing adds $4; the fee remains $100. Optional in-person Same Day Service is $50 per document on the Secretary of State's current Business Services page, with a 4:30 pm Central cutoff; the printed forms dated 07/20 still state $25, so this page follows the current Business Services page and flags the conflict rather than hiding it. The optionals are priced plainly. A name reservation is $10 for 60 days. A Trade Name Report is $25. Hiring a commercial registered agent service is a market purchase, not a state fee, and the $40 annual agent fee applies only if the Secretary of State serves as the registered agent.
Every year after: the cost of staying alive
| Recurring cost in Oklahoma | Amount |
|---|---|
| Annual Certificate, due on the anniversary date | $25 |
| Franchise tax on a default LLC | $0. Oklahoma eliminated its franchise tax; tax year 2023 was the last return year, and that tax was a corporate tax in any event |
| Registered agent fee, Secretary of State as agent only | $40 a year, only if the Secretary of State serves as the registered agent |
| Pass-through entity (PTE) tax | Elective and income based; excluded from the flat total |
| Typical recurring total | $25/yr |
Budget $25 a year, and protect the anniversary date. The Secretary of State sends the annual certificate notice at least 60 days before the anniversary, only to the e-mail address of record, and the certificate confirms the LLC is an active business and states its principal place of business address and the primary contact e-mail address, which is required in order to receive future notices. The late cascade has no money penalty inside it: at 60 days the LLC ceases to be in good standing under section 2055.2(D), sections 2055.2(E) and (F) then bar most filings, certificates of good standing, and maintaining an action in an Oklahoma court until reinstatement, and section 2012.1(B) deems the articles canceled if the certificate and fee stay unpaid for three years, effective on the third anniversary of the due date. Reinstatement under section 2055.3 relates back and takes effect as if the LLC had never ceased to be in good standing and as if its articles had never been canceled. The statute and the reinstatement form state no time limit for applying, so this page publishes no reinstatement deadline.
What drives the Oklahoma total, year one vs. later
Oklahoma's year one is a single $100 filing fee, with no publication, no initial report, and no extra mandatory state charge landing in the first year. Later years cost $25, and they stay there for a compliant LLC, because the Annual Certificate is the only recurring flat state charge and Oklahoma imposes no franchise tax on an LLC. So the Oklahoma total is driven by compliance, not by revenue. Miss the $25 certificate and no late fee is added, but good standing is lost at 60 days, most Secretary of State filings and any action in an Oklahoma court are barred until reinstatement, and at three years the articles themselves are deemed canceled. Coming back still carries no reinstatement fee: the bill is $25 for each delinquent annual certificate, plus any delinquent $40 agent fees if the Secretary of State was the agent. Elect the pass-through entity tax and an income based charge appears, explained below and kept out of the flat total.
The Oklahoma fees around the formation
These are the lines an Oklahoma LLC is most likely to meet, from Title 18 and the Secretary of State's fee schedule and Business Forms page:
| Oklahoma filing | Fee | Notes |
|---|---|---|
| Name reservation (60 days) | $10 | Optional. Filed under Title 18, section 2009. |
| Foreign LLC Application for Registration | $300 | An LLC formed in another state registering to transact business in Oklahoma. A home-state certificate of existence, dated within the last 60 days, is required with the application. |
| Foreign LLC Application for Withdrawal | $100 | A registered foreign LLC surrendering its authority to transact business in Oklahoma, under Title 18, section 2047. |
| Change of registered agent, registered office, or principal office | $25 | Only when the agent, the office, or the principal office changes. A registered agent resignation is also $25. |
| Trade Name Report (DBA) | $25 | Filed with the Secretary of State under Title 18, section 1140. No term or renewal filing appears in the state materials, and no annual fee or tax is required for a trade name registration. An amended report, a transfer, and a withdrawal are each $25. |
| Articles of Dissolution | $50 | One filing closes a domestic LLC, under Title 18, section 2041. No tax clearance field or clearance filing appears in the Secretary of State's dissolution materials. |
| Application for Reinstatement | No fee | Plus $25 for each delinquent annual certificate, and any delinquent $40 registered agent fees. Nothing more. |
| Secretary of State as registered agent | $40 a year | Paid on July 1 each year, only when the Secretary of State serves as the registered agent. |
The elective pass-through entity tax, kept out of the total
The default in Oklahoma is pass-through treatment: the income passes through to the owners, and their Oklahoma income tax on it is an owner level tax, not an LLC flat charge. An LLC may instead elect entity level taxation under the Pass-Through Entity Tax Equity Act of 2019, Title 68, sections 2355.1P-1 through 2355.1P-4, using the Oklahoma Tax Commission's Form 586. An LLC taxed as a partnership files Form 514 and is within the electing class; an LLC taxed as an S corporation files Form 512-S. Under Form 587-PTE, the electing entity multiplies each member's Oklahoma distributive share of Oklahoma net entity income by 4.75 percent for members who are individuals, trusts, or estates, and by 4 percent for members who are corporations, S corporations, and partnerships. Because the election is optional and the tax is income based, it is excluded from every flat total on this page.

Run your own version, with an optional registered agent added, in the LLC cost calculator. Every state's year-one and recurring totals sit in one table on the national cost hub, and if a service would act as your agent, the registered agent price tracker follows what that costs at each tracked provider. If you would rather a service handled the filing, the services comparison prices that honestly, renewals included.
