What Does an LLC Cost in Nevada?
Nevada's sticker says $75 and its statutes say $425. The difference is two mandatory companions to the Articles, and the same pair, renewed, is $350 every year after. Here is the whole state bill, with the two Nevada taxes that sit outside it explained honestly.
Year one: what you pay to exist
| Year-one cost in Nevada | Amount |
|---|---|
| Articles of Organization, Secretary of State | $75 |
| Initial List of Managers or Managing Members (required at formation) | $150 |
| State Business License (required before conducting business) | $200 |
| EIN from the IRS | $0 |
| Operating agreement (you write it, not filed) | $0 |
| Total state cost, year one | $425 |
That $425 is the complete required state charge, and it is the number most Nevada advertising leaves out. The Articles alone are $75, but the state will not let the formation stand on the Articles alone: the Initial List is filed at the time the Articles are filed, and the business license must be in hand before the LLC conducts business. A commercial registered agent, if you hire one instead of naming an individual, adds that service's own yearly price on top. There is no publication cost and no separate state formation tax in year one.
Every year after: the cost of staying alive
| Recurring cost in Nevada | Amount |
|---|---|
| Annual List of Managers or Managing Members | $150 |
| State Business License renewal | $200 |
| State income tax on the LLC | $0. Nevada has none. |
| Commerce Tax, at or under $4,000,000 of Nevada gross revenue | $0, and no return required |
| Typical recurring total | $350/yr on time |
Nevada's $350 is a discipline test with a paper trail. The Secretary of State mails a notice 90 days before the due date, but the statute says failure to receive the notice does not excuse a late penalty, so treat the anniversary month as your own deadline to manage. The two penalties stack independently: $75 added when the list is late, and $100 for a late license renewal, on top of the fees themselves. Because every list carries a perjury declaration that the company has complied with the business license chapter, a lapsed license also means the company is deemed not to have complied with the list requirement. One missed month can therefore put both filings in default at once, which is how Nevada LLCs slide toward revocation.
What drives the Nevada total, year one vs. later
Nevada's total is driven by a pair of filings, not by the Articles. The $75 formation fee is the smallest part of year one; the Initial List at $150 and the State Business License at $200 do the heavy lifting, bringing year one to $425. Later years repeat the same pair in renewed form, the Annual List at $150 and the license renewal at $200, for $350 a year, due by the last day of the anniversary month. That makes Nevada the mirror image of Arizona in this guide: Arizona charges $50 once and then nothing, while Nevada charges a real rent for existing, every year, forever. The Nevada recurring total is at least predictable. It does not scale with revenue until the Commerce Tax threshold at $4,000,000 of Nevada gross revenue, and it does not hide optional extras. What makes a Nevada year expensive is not growth but lateness: a $75 penalty on the list and a $100 penalty on the license turn a $350 year into a $525 year, and continued neglect ends in revocation and a $300 reinstatement fee plus every back charge. Pay the $350 on time and Nevada is a known, flat cost of doing business.
The two Nevada taxes that are not in the flat totals
Nevada has no corporate or personal income tax. It has two activity-based taxes instead, and both are excluded from the $425 and $350 totals above because neither can be known until the business operates. Here is what they actually are, from the Department of Taxation and the statutes.
| Tax | Who it reaches | Figure |
|---|---|---|
| Commerce Tax: filing threshold | Businesses with Nevada gross revenue above the threshold; at or below it, exempt from filing entirely | $4,000,000 |
| Commerce Tax: rates | By industry category in NRS Chapter 363C, from mining at 0.051% to rail transportation at 0.331%; manufacturing is 0.091% | 0.051% to 0.331% |
| Commerce Tax: return due | 45 days after the fiscal year ends (July 1 to June 30); August 14, 2026 for the 2025 to 2026 year | 45 days |
| Modified Business Tax: general rate | All employers, on wages, with the first $50,000 of wages per quarter non-taxable | 1.17% |
| Modified Business Tax: financial institutions | Employers in that category, with no wage exemption | 1.554% |
The Commerce Tax is the one that gets exaggerated in Nevada marketing and criticism alike. A business at or under $4,000,000 of Nevada gross revenue is exempt from the filing requirement entirely, which covers the overwhelming majority of LLCs formed in the state. Above the threshold, each industry category subtracts $4,000,000 from Nevada gross revenue and applies its own rate, and a Commerce Tax credit may be claimed against the Modified Business Tax. The Modified Business Tax is the broader of the two: every employer files a return each quarter, even if no tax is due, due on or before the last day of the month following the quarter, and registration is automatic when the employer registers with the Employment Security Division. If you will have Nevada employees, that quarterly rhythm, not the annual list, becomes your main tax routine.

Run your own version, with an optional registered agent added, in the LLC cost calculator. Every state's year-one and recurring totals sit in one table on the national cost hub, and if a service would act as your agent, the registered agent price tracker follows what that costs at each tracked provider. If you would rather a service handled the filing, the services comparison prices that honestly, renewals included.
