What Does an LLC Cost in Mississippi?

Mississippi is one of the cheapest patterns in this guide: $50 to form, then $0 a year for a domestic LLC, because the annual report is free and a default LLC owes no franchise tax. The one figure that breaks the pattern is foreign: an out-of-state LLC pays $250 to register and $250 every year for its annual report.

Year one: what you pay to exist

Year-one cost in MississippiAmount
Certificate of Formation, Secretary of State$50
EIN from the IRS$0
Operating agreement (you write it, not filed)$0
Registered agent (you or another eligible person serves)$0
Total state cost, year one$50

That is the complete required state charge to form, and there is only one price for it: the Secretary of State's schedules list no separate mail, online, or in person fee for the Certificate of Formation, and no convenience fee appears on those schedules, so this guide adds none. Nothing else is owed in year one: no publication, and no separate formation tax on the Secretary of State's schedules. The optionals are priced plainly. A name reservation is $25 for 180 days, and transferring a reservation is also $25. A fictitious business name registration, which is voluntary in Mississippi, is $25 for a five year term. Naming an eligible person as registered agent costs nothing in state fees; hiring a commercial registered agent service is a market purchase, separate from state charges.

Every year after: the cost of staying alive

Recurring cost in MississippiAmount
Annual report, due April 15, filed online only$0
Franchise tax on a default LLC$0. The Department of Revenue's pass-through materials assign the franchise tax line to S corporations only
Electing pass-through entity taxElective and income based; excluded from the flat total
Foreign LLC annual report$250. Foreign LLCs only; never part of the domestic total
Typical recurring total$0

A recurring total of $0 comes with a real duty attached. The annual report is mandatory every year, due April 15, filed online only, and open for filing from January 1. An LLC that does not deliver its report within 60 days after it is due has given the Secretary of State a ground for administrative dissolution, and after notice and a further 60 days to correct the ground, the Secretary of State dissolves the LLC by signing a certificate of administrative dissolution, itself issued for no fee. Bringing the LLC back costs a flat $50: reinstatement under section 79-29-825 may be sought at any time after the effective date of dissolution, with no deadline in the statute, and because every missed domestic annual report costs $0, the missed reports add nothing to the $50. Budget $0 a year, and spend the attention you save on the April 15 date and the online filing.

What drives the Mississippi total, year one vs. later

Mississippi's year one is a single $50 filing fee, and later years cost $0 in state charges for a domestic LLC, and they stay there, because the annual report is priced at $0 on the Secretary of State's fee schedule and Mississippi imposes no flat entity tax on a default LLC. Classification follows the federal classification under section 79-29-127, so a default LLC is taxed as a partnership or disregarded, and the income tax on pass-through income falls on the owners rather than as an entity charge. The Department of Revenue's pass-through return makes the same point in its own line items: the franchise tax line reads "S corporations only." So the Mississippi total is driven by two things only: status and behavior. Status, because a foreign LLC pays $250 a year for the report a domestic LLC files free. Behavior, because missing the free report past its cure periods leads to administrative dissolution and a $50 reinstatement, and electing entity level taxation creates an income based tax that is explained below and kept out of the flat total.

The Mississippi fees around the formation

These are the lines a Mississippi LLC is most likely to meet, from the Secretary of State's Business Documents Filing Fees schedule and Services and Fees Schedule:

Registered agent or office statement of change$10
Certificate of Amendment$50
Fictitious business name registration (voluntary, 5 years)$25

Foreign LLC annual report$250
Foreign LLC reinstatement$100

The Mississippi taxes that are not in the flat total

Mississippi classifies an LLC for state income tax purposes in the same manner as it is classified for federal income tax purposes, under section 79-29-127 and the Department of Revenue's pass-through entity instructions, Form 84-100. A default LLC is therefore a pass-through: a multi-member LLC taxed as a partnership, a single-member LLC disregarded, with the tax on the income falling at the owner level. The franchise tax that appears in the Department of Revenue's pass-through materials is confined there to S corporations: the section of the instructions is headed "Franchise Tax (S Corporations)" and Form 84-105 carries the line "Total franchise tax (S corporations only)." No flat franchise tax figure for a default LLC exists in those materials, and this page prints none.

The electing pass-through entity tax is the exception, and it is an election. Under House Bill 1691 of 2022, a pass-through entity may elect to pay Mississippi income tax at the entity level, and its owners then claim a credit for the tax paid on their behalf. Because the election is optional and the tax is income based, it is excluded from the totals on this page. Composite filing, which also appears in the Department of Revenue's pass-through instructions, is an owner composition filing mechanism, not a flat LLC charge, and is likewise excluded.

Run your own version, with an optional registered agent added, in the LLC cost calculator. Every state's year-one and recurring totals sit in one table on the national cost hub, and if a service would act as your agent, the registered agent price tracker follows what that costs at each tracked provider. If you would rather a service handled the filing, the services comparison prices that honestly, renewals included.
