How to Form an LLC in Iowa

Iowa charges $50 to form an LLC, and there is no state form to fill in: you draft the Certificate of Organization yourself and upload it as a PDF through Fast Track Filing. The traps are in the guides, not the fee schedule. Reinstatement after administrative dissolution costs $5, not the $50 other guides quote, an LLC's DBA is a $5 state level fictitious name filing rather than a county filing, and the only recurring charge is a $30 online biennial report in odd numbered years.

Iowa at a glance

Filing fee: $50 for the Certificate of Organization, filed with the Iowa Secretary of State. Recurring: A biennial report every two years, $30 online or $45 by paper, due between January 1 and April 1 of odd numbered years. The first report is due in the first odd numbered year after the formation year. Registered agent: required, with a physical address in Iowa. Every figure on this page was checked against the Iowa Secretary of State's official site, the Iowa Code, and the Iowa Department of Revenue's official site on November 8, 2026.

The Iowa filing steps

  1. Check your name on the state's own search

Check the name against the Secretary of State's records before you file. Under Iowa Code section 489.112, an Iowa LLC name must contain "limited liability company" or "limited company" or the abbreviation "L.L.C.", "LLC", "L.C.", or "LC"; "Limited" may be abbreviated "Ltd." and "company" may be abbreviated "Co." The name must be distinguishable on the Secretary of State's records from other persons whose formation required a Secretary of State filing, including administratively dissolved persons within five years of their dissolution, from limited liability partnerships with an effective statement of qualification, and from names reserved, registered, or registered as fictitious names with the Secretary of State. A check does not reserve the name. To hold one, file a name reservation under section 489.113 for $10; it lasts 120 days, it is transferable, and transferring a reserved name costs another $10.

  2. Choose your registered agent

Iowa requires a registered agent. Under section 489.115, each domestic LLC and each registered foreign LLC shall designate and maintain a registered agent in Iowa, and the designation affirms that the agent has consented. The agent must have a place of business in Iowa, and the agent's duties are to forward process and notices to the company, to give notice of resignation, and to keep its certificate of organization information current. The agent is part of the formation document itself: the Certificate of Organization states the name and the street and mailing addresses in Iowa of the registered agent, under section 489.201. Changing the agent later is free. A statement of change of registered agent or registered office address under section 489.116 carries no fee under section 489.122, and neither does the agent's own statement of change or a registered agent's statement of resignation. Letting the agent lapse is not free of consequence: being without a registered agent, or having an agent without an Iowa place of business, for 60 or more days is a ground for administrative dissolution.

  3. File the Certificate of Organization with the Secretary of State

File the Certificate of Organization through Fast Track Filing at filings.sos.iowa.gov. The fee is $50 under section 489.122. There is no prescribed state form: where the Secretary of State's forms page links only the Code section, the filer drafts the document to meet the Code. The Fast Track Filing walkthrough has the filer create an account, upload the signed certificate as a PDF, select the chapter, the name, an effective date and time, and an expiration date or "Perpetual," answer an agricultural land question, enter the registered agent and registered office and the principal office, sign online, then review and pay. Under section 489.201, the certificate must state the name of the company, complying with section 489.112, the street and mailing addresses of the principal office, and the name and street and mailing addresses in Iowa of the registered agent. Under section 489.201, the company is formed when the certificate of organization becomes effective. If speed matters, the Secretary of State publishes optional expedited surcharges on top of the filing fee, per document: $15 for five business day service, $50 for two business days, $125 for same business day service, and $200 for one hour service.

  4. Get an EIN from the IRS

Free, online, and takes minutes once your Iowa filing is approved. Never pay a service for this. See EIN for an LLC for the walkthrough and the one IRS rule (a real person as responsible party) that surprises people.

  5. Write your operating agreement

Under Iowa Code section 489.105, the operating agreement governs relations among the members and between the members and the company, the rights and duties of a person in the capacity of manager, the company's activities and affairs and the conduct of those activities and affairs, and the means and conditions for amending the agreement. Section 489.105 states the default rule in one sentence: to the extent the operating agreement does not provide for a matter, chapter 489 governs the matter. Section 489.102 defines the agreement broadly: it is an agreement of all the members, including a sole member, and it may be oral, implied, in a record, or any combination of those. It is an internal document: it is not filed with the Secretary of State, and section 489.122 contains no fee for it. Broad and unwritten is a risky combination for a multi member LLC, so write it at formation.

  6. Open the business bank account and handle licenses

Bring your approved formation document and EIN letter. Then check your city and county for a general business license and your industry for state permits. Iowa issues no single statewide general business license through the Secretary of State. Licensing is industry specific, through state agencies and boards, or local, through your city or county. The near universal state level step is tax registration with the Iowa Department of Revenue for the taxes your activity triggers. Check your industry and your city before you budget, because those offices, not the Secretary of State, set those charges.

Filing details that trip people up

  • Reinstatement costs $5, not $50, and there is no deadline. Guides quoting $50 for an Iowa reinstatement are wrong. Section 489.122 prices the application for reinstatement following administrative dissolution at $5, the certificate of reinstatement itself is no fee, and section 489.710 allows the application at any time after administrative dissolution. Reinstatement relates back and takes effect as if the dissolution had never occurred, and the company keeps its name if reinstatement is effective within five years. Delinquent biennial reports and fees needed to eliminate the grounds for dissolution are separate from the $5.
  • Foreign LLCs file a Foreign Registration Statement for $100, and the home state certificate is required. The current document name is Foreign Registration Statement, not certificate of authority. Under section 489.903, a certificate of existence or similar document from the home state, duly authenticated and dated no earlier than 90 days before the application is filed, must accompany the registration. An amended registration statement is also $100. A foreign LLC that does business in Iowa unregistered may not maintain a proceeding in an Iowa court until it registers, although its contracts stay valid, it can still defend a proceeding, and its members and managers do not lose liability protection. Withdrawing a registration later costs $10.
  • An LLC's DBA is a $5 state fictitious name filing. The county trade name system does not apply to LLCs. Under section 489.112, an LLC using a fictitious name in Iowa delivers to the Secretary of State a certified copy of the resolution of its members or managers adopting the fictitious name, and the Secretary of State's fee list prices the fictitious name filing at $5. The county recorder trade name track in chapter 547 is the sole proprietor and general partnership track, and section 547.1 expressly does not apply to limited liability companies. Do not record your LLC's trade name at the county. Our DBA guide covers the details.
  • No publication requirement to form. Nothing in section 489.201's required contents, and nothing in the Secretary of State's form an LLC walkthrough, imposes a newspaper step. Publication exists in chapter 489 only as an optional post dissolution claims mechanism under sections 489.704 and 489.705, for a company that has already dissolved. It is not a formation step and it is not in the formation cost.
  • Closing starts with a $5 statement of dissolution. After the events in section 489.701 and winding up under section 489.702, a dissolved LLC may file a statement of dissolution for $5 under section 489.122. The Secretary of State's dissolve page notes the filing is an instant filing in Fast Track Filing and is not reviewed by the Secretary of State. After winding up, the LLC may also file a statement of termination. The fee list in section 489.122 names the statement of dissolution at $5 and contains no line named statement of termination, so this page prices the dissolution filing only. The full sequence is on the report page.

After your Iowa LLC is approved

Get the EIN, open the business bank account, and register with the Iowa Department of Revenue for the tax accounts your activity triggers. Then set one recurring reminder with a two year rhythm: the biennial report, $30 online or $45 by paper, due between January 1 and April 1 of odd numbered years, with the first one due in the first odd numbered year after the formation year. Keep the registered agent and registered office current as well; a statement of change is free, so there is no reason to let the record go stale. If the business will trade under a different name, budget the $5 fictitious name filing with the Secretary of State, not a county recording.

Iowa LLC questions

Does an Iowa LLC need a registered agent?

Yes. Section 489.115 requires each domestic LLC and each registered foreign LLC to designate and maintain a registered agent in Iowa, and the agent must have a place of business in Iowa. The agent's name and Iowa street and mailing addresses go in the Certificate of Organization itself. Changing the agent later costs nothing: a statement of change under section 489.116 is filed for no fee. See the Iowa compliance page.

What does the Iowa biennial report cost, and when is it due?

$30 filed online, or $45 by paper. Under section 489.212, the first report is due between January 1 and April 1 of the first odd numbered year following the year the LLC was formed or registered, and later reports are due in the same window of each following odd numbered year. There is no report due in the formation year itself.

How much does it cost to reinstate an Iowa LLC?

The application for reinstatement costs $5 under section 489.122, not the $50 some guides quote, and section 489.710 allows it at any time after administrative dissolution. Any delinquent biennial reports and fees needed to eliminate the grounds for dissolution are owed on top of the $5.

Does an Iowa LLC file a BOI report?

No. US-formed companies are exempt under the federal final rule of August 14, 2026. See the BOI tracker.
