What Does an LLC Cost in Arizona?

Arizona: $50 to form, $0 a year to the state, for as long as nothing changes. The only costs most Arizona LLCs ever meet after formation are the one-off filings their own changes trigger, plus a newspaper bill if the agent lives outside the two big counties.

Year one: what you pay to exist

Year-one cost in ArizonaAmount
Articles of Organization (Form L010), Corporation Commission$50
EIN from the IRS$0
Operating agreement (you write it, not filed)$0
Publication, if the agent's address is in Maricopa or Pima County$0. The Commission posts it.
Publication elsewherePaid to a newspaper, not the state; the price varies by paper
Total state cost, year one$50

That $50 is the complete required state charge for a standard Arizona formation. Expedited processing adds $35 if you choose it, and the accelerated tiers add $100 to $400 more, but none of that is required. A commercial statutory agent, if you hire one instead of naming an individual, adds that service's own yearly price, which is a market price and not a state fee. There are no other state formation charges: no initial report, no separate license fee at the state level, and no publication fee payable to the state in any county.

Every year after: the cost of staying alive

Recurring cost in ArizonaAmount
Annual report$0. Arizona does not have one for LLCs.
Annual or biennial state fee$0. None exists in the Commission's fee schedule.
Articles of Amendment, only when your facts change$25 per filing
Statement of Change, for agent or address updates$5 per filing
Typical recurring total$0 in a year when nothing changes

Arizona's recurring cost is genuinely zero dollars, and that is exactly why the 30-day update rule matters. With no annual filing, nothing forces you to look at your public record each year, so stale records drift until they become a compliance problem: a member or manager who knows filed information has become inaccurate must promptly cause an amendment, a statement of change, or a statement of correction to be filed, and an LLC that has not amended as required may not maintain a court action on a contract or transaction made in the company's name until it does. Keeping the record current at $5 to $25 a change is some of the cheapest insurance in this guide.

What drives the Arizona total, year one vs. later

Arizona's total is driven by what does not happen. Year one is a single $50 filing fee, one of the lowest formation charges in this guide (only Kentucky, at $40, files for less), and a typical later year costs $0 in state charges because Arizona never adopted the annual report. Compare the shape with its neighbors in this guide: Nevada takes $425 in year one and $350 every year after, and Florida's annual report alone exceeds Arizona's entire lifetime state cost within its first year. The Arizona pattern is event-driven instead of calendar-driven. The state bills you when your record changes, $25 for an amendment and $5 for a statement of change, and leaves quiet LLCs alone. Two things can still add cost outside the state ledger: a newspaper publication bill in year one if your statutory agent's address is in a smaller county, and the $12 per location Transaction Privilege Tax license if your activity is taxable, which is a tax license rather than an LLC fee. Budget for your changes, not for a calendar, and Arizona stays as cheap as it looks.

The Arizona fee schedule, beyond formation

Because Arizona bills by event rather than by year, the useful cost table is the Corporation Commission's own fee schedule for the filings an LLC meets over its life. Every figure below is from A.R.S. section 29-3213 and the Commission's Schedule of Fees for Limited Liability Companies. Expedited processing adds $35 to most filings.

FilingRegular fee
Articles of Organization (Form L010)$50
Foreign Registration Statement (Form L025)$150
Articles of Amendment$25
Statement of Change$5
Statement of Correction$25
Name reservation (optional)$10
Reinstatement after administrative dissolution$100
Articles of Termination$35

Two Arizona costs sit outside this schedule entirely. The Transaction Privilege Tax, the state's vendor tax that works like a sales tax, is a percentage of your taxable activity, so it cannot be totaled in advance; its license is $12 per location through the Department of Revenue. And newspaper publication, where your agent's county requires it, is priced by the newspaper. Neither is an LLC formation or maintenance fee, and any calculator that folds them into a flat state total is guessing on your behalf.

Run your own version, with an optional registered agent added, in the LLC cost calculator. Every state's year-one and recurring totals sit in one table on the national cost hub, and if a service would act as your agent, the registered agent price tracker follows what that costs at each tracked provider. If you would rather a service handled the filing, the services comparison prices that honestly, renewals included.
